1. Introduction

XceedsFood ("we," "us," or "our") is a food delivery platform that facilitates the preparation and delivery of food directly to customers' doorsteps. Our services are subject to these Terms & Conditions, which govern your use of the platform.

2. Order and Payment

2.1 Pre-Payment Requirement: All orders must be paid in full at the time of order placement through our approved payment methods. No cash payments are accepted upon delivery. 2.2 Order Confirmation: An order is considered confirmed once you receive a confirmation receipt via email or app notification. Orders are subject to availability and may be canceled if the restaurant cannot fulfill them. 2.3 Pricing and Fees: Prices are listed on our platform and are inclusive of applicable taxes. Delivery charges may apply based on distance and promotional offers. 2.4 Payment Security: Payments are processed through secure, encrypted channels. We do not store sensitive payment information.

3. Food Quality and Delivery

3.1 Food Standards: All food is prepared in certified kitchens according to health and safety standards. We are not liable for issues arising from food prepared outside our standards. 3.2 Packaging: Food is packaged securely to ensure hygiene and temperature maintenance during transit. 3.3 Delivery Responsibility: Delivery personnel are responsible for delivering food to the customer’s doorstep. It is the customer’s responsibility to ensure someone is available to receive the order. 3.4 Delivery Timeframes: Estimated delivery times are provided at checkout. While we strive to meet these times, delays caused by external factors are beyond our control.

5. Customer Responsibilities

Provide accurate and complete delivery information. Be available at the specified delivery address during the estimated delivery window. Inform us of any allergies or special dietary requirements before ordering.

6. Privacy

Your privacy is important to us. We collect and process your data solely for order fulfillment and service improvement in accordance with our Privacy Policy. By using our services, you agree to our data practices.

7. Intellectual Property

All content, logos, trademarks, and intellectual property on the platform are owned by or licensed to XceedsFood. You agree not to reproduce or misuse any content without permission.

8. Limitation of Liability

To the maximum extent permitted by law, XceedsFood shall not be liable for any damages, losses, or injuries resulting from the use of our services, including delays, food quality issues, or third-party conduct.

9. Dispute Resolution

Any disputes arising from these Terms & Conditions shall be resolved amicably. If unresolved, disputes may be escalated to relevant legal authorities.

10. Changes to Terms & Conditions

We reserve the right to modify these Terms & Conditions at any time. Changes will be effective upon posting on the platform. Continued use of our services signifies acceptance of any updates.

11. Governing Law

Fees & Charges

1. Service Fee

XceedsFood may charge a service fee for facilitating each order. This fee helps cover operational costs, platform maintenance, and customer support.

Additional taxes or levies mandated by local authorities will be added to the total amount at checkout.

4. Payment Collection

Payments for orders, including food cost, service fee, delivery fee, and taxes, are collected upfront at the time of order placement.
Payments are processed via secure payment gateways supported by XceedsFood.

5. Fees for Partners

Partners such as restaurants or delivery service providers may have specific fees or commission structures outlined in their individual agreements with XceedsFood.
Any applicable fees for partners will be transparently communicated and deducted as per contractual terms.

6. Changes to Fees

XceedsFood reserves the right to modify fees and charges at any time. Changes will be communicated through platform updates and will take effect immediately or as specified.
Continued use of the platform constitutes acceptance of these changes.

Partnership Policy for XceedsFood

1. Partnership Eligibility

Partners must comply with all applicable laws, regulations, and health standards.
Partners must have valid licenses, certifications, and permits required to operate their respective business activities.
Partners must agree to adhere to XceedsFood’s quality standards, policies, and branding guidelines..

2. Scope of Partnership

Food Providers: Prepare and supply food according to agreed menus, quality, and safety standards.
Delivery Partners: Facilitate timely and safe delivery of orders to customers’ doorsteps.
Suppliers: Provide ingredients, packaging, or other supplies as per contractual agreements.

3. Responsibilities of Partners

3.1 Food Providers Maintain high standards of food hygiene, safety, and quality.
Ensure accurate menu descriptions and ingredient disclosures.
Comply with food safety audits and inspections.
3.2 Delivery Partners
Deliver orders promptly within agreed timeframes. Follow safety protocols, including hygiene and traffic regulations.
Maintain professionalism and courteous conduct.
3.3 Suppliers
Deliver quality products on time.
Ensure compliance with safety and regulatory standards.
Communicate proactively about any supply issues.

4. Payment and Compensation

Payment terms, including commission rates, delivery fees, or other compensation, will be outlined in individual partnership agreements.
Payments are processed as per the agreed schedule and method.
Partners are responsible for their own taxes and legal obligations.

5. Intellectual Property and Branding

Partners may be authorized to use XceedsFood’s branding, logos, or trademarks solely for promotional purposes within the scope of the partnership.
Any use of our intellectual property outside the scope must be approved in writing.

6. Confidentiality

Partners shall keep confidential any proprietary or sensitive information obtained during the partnership.
Confidentiality obligations survive the termination of the partnership.

7. Termination of Partnership

Either party may terminate the partnership with written notice, subject to the terms of the agreement.
Upon termination, partners must cease all use of XceedsFood branding and return or destroy confidential information.

8. Dispute Resolution

Disputes arising from the partnership will be addressed amicably through negotiation.
Unresolved disputes may be escalated to arbitration or legal channels as specified in the partnership agreement.

9. Compliance

Partners must comply with all applicable laws, regulations, and policies.
Non-compliance may result in termination of the partnership and other legal actions.

10. Amendments

Any changes or amendments to partnership terms will be communicated in writing and require mutual agreement.
